Terms of Service

IMPORTANT. These Terms include binding individual arbitration and a class action waiver (Section 23, with a 30-day opt-out), a release and assumption of risk for events (Sections 7, 18, and 19), a photo and video release (Section 8), Shop terms (Section 9), and limits on our liability (Sections 17 and 20).

These Terms of Service ("Terms") govern your access to and use of the Boston AI Week website, schedule, accounts, and related services (collectively, the "Site"), operated by SmartCurrent Inc. ("Boston AI Week," "we," "us," or "our"). The Site includes the schedule and event listings, accounts and RSVP features, the Shop, the Boston AI Summit application, the Host an Event, Apply to Speak, Volunteer, and sponsor forms, the State of AI in Massachusetts survey, our email programs, our public API routes and calendar feeds, and our official channels on third-party platforms such as Meetup and LinkedIn. By accessing or using the Site, creating an account, subscribing, or submitting an event, you agree to these Terms. These Terms also apply to your attendance at and participation in Boston AI Week events, whether produced by us or run by independent hosts, in person or online; by RSVPing, applying, purchasing, registering for, or attending any Boston AI Week event, you agree to these Terms. These Terms are a binding legal agreement between you and SmartCurrent Inc. Your use of the Site is also governed by our Privacy Policy and our Code of Conduct, each of which is incorporated into these Terms by reference. If you do not agree, please do not use the Site.

1. Eligibility and accounts

You must be at least 18 years old to create an account, subscribe, or submit an event. The Site is intended for adults; individuals aged 13–17 may use public schedule information only with the involvement of a parent or guardian. The Site is not intended for and may not be used by children under 13. The same age requirement applies to purchasing from the Shop, RSVPing to events, applying to the Boston AI Summit, applying to speak, volunteering, and responding to our surveys.

You may create an account with an email address and password, by signing in with Google, or by requesting a sign-in link by email. Each of these methods creates an account that is subject to these Terms. When you create an account, accept these Terms, or complete a checkout, application, or submission, we record the version of these Terms you accepted, the date and time, and related technical details, and we may ask you to accept updated Terms before you continue to use account features. You may hold one account; automated or bulk account creation is prohibited. By giving us your email address anywhere on the Site or at an event, you agree that we may send you festival updates and marketing about Boston AI Week as described in the Privacy Policy, including sponsored messages sent by us on a sponsor's behalf, with an unsubscribe link in every marketing email, and that if you tick the sharing opt-in we may share your details with the sponsors, partners, and exhibitors featured on the Site, as the box describes and as the Privacy Policy explains.

You are responsible for the accuracy of the information you provide, for all activity that occurs under your account, and for keeping your credentials confidential. Notify us promptly at info@aiweek.boston if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms or the Code of Conduct, or that create risk or legal exposure for us or others. Suspension or termination does not limit our other rights or remedies. You may close your account at any time by emailing info@aiweek.boston from the email address on the account; we handle your information afterward as described in the Privacy Policy.

2. Independent community event

Boston AI Week is an independent, community-run festival. It is not an official program of, and is not endorsed or sponsored by, the City of Boston, the Commonwealth of Massachusetts, or any university, employer, or sponsor unless explicitly stated. Sponsors and partners support the festival but do not control the program or its content. Ceremonial recognitions, such as proclamations or letters of support from public officials, are honorary and do not make Boston AI Week a program, agent, or instrumentality of any government body.

3. Relationship to other agreements

These Terms govern your use of the Site. Sponsorships, partnerships, exhibitor arrangements, and other commercial relationships are governed by separate written agreements with SmartCurrent Inc. / Boston AI Week; if there is a conflict between such an agreement and these Terms, the separate agreement controls for that relationship. Order forms, sponsorship agreements, host revenue-share or attendee-benefit arrangements for paid events, media partnerships, and vendor and venue agreements are all separate agreements of this kind. Nothing in these Terms grants any sponsor, partner, host, or vendor rights beyond those in its separate written agreement. The limitations in these Terms, including the disclaimers, assumption of risk, release, liability cap, and indemnity in Sections 17 through 21, apply to your use of the Site and your attendance at events, and do not modify any separate written agreement.

4. The festival schedule and listings

Boston AI Week aggregates and lists events submitted by independent hosts and curated by us. We do not produce, run, ticket, staff, fund, insure, or supervise hosted events. Each event is the sole responsibility of its host. Boston AI Week does not sell, serve, or furnish alcohol at any event. If a host, partner, or sponsor serves alcohol at its event, it does so on its own license and responsibility, outside Boston AI Week's control and outside Boston AI Week itself. We may decline, edit, reorder, or remove any listing at our discretion — for example, if it is inaccurate, off-topic, unsafe, or inconsistent with the festival's values or our Code of Conduct.

Inclusion of an event, host, or organization on the schedule is not an endorsement, certification, or guarantee of the host, its content, its claims, or its products or services. We may label events as core-week, festival-week, official, featured, or otherwise, and may promote or feature listings at our discretion.

Some listed events are ticketed by their hosts. Ticket prices, fees, refunds, cancellations, and admission for host-ticketed events are set and handled by the host under the host's own terms. Boston AI Week is not the seller or merchant of record for host tickets, does not process host payments, and cannot refund them. Where a host has agreed to offer a Boston AI Week attendee benefit (such as a discount or free admission), the benefit is provided by the host under its own terms.

5. Host responsibilities

If you submit or host an event, you represent, warrant, and agree that:

• You have the authority to host the event and to grant us the licenses in these Terms.
• The information you submit (including title, description, host name, logo, times, location or join link, and capacity) is accurate, lawful, and kept current.
• You are solely responsible for the venue, accessibility, safety, security, ticketing or RSVP management, staffing, any food and beverage, and any required permits, licenses, and insurance.
• You will comply with our Code of Conduct and all applicable laws, and will respond to attendee questions in a reasonable timeframe.
• You will uphold and enforce our Code of Conduct at your event and designate a point of contact for concerns, as a condition of being listed.
• You will not collect attendee information on our behalf; any information you collect from attendees is collected by you as an independent controller under your own privacy practices.
• Where alcohol is served at your event, you are responsible for lawful service, age verification, and any liquor license, permit, and liquor liability coverage required.
• You will maintain insurance appropriate to your event, including general liability coverage for in-person events, and on our request will provide a certificate of insurance and name SmartCurrent Inc. as an additional insured.
• You will promptly update your listing if details change, will notify your registrants of any change, postponement, or cancellation, and are solely responsible for any refunds you owe.
• If your event involves minors, you are responsible for all required consents, supervision, screening, and legal compliance.
• You are responsible for your speakers, sponsors, exhibitors, vendors, and staff, for the content presented at your event (including any AI demonstrations and their outputs), and for ensuring that all of them follow the Code of Conduct and applicable intellectual property, privacy, and export laws.
• You will use the Boston AI Week name and marks only to identify your event as a listed Boston AI Week 2026 event, in accordance with our Host Guide and brand guidance, and you will not state or imply that Boston AI Week produces, sponsors, funds, or endorses your event or its content.
• You will honor any attendee benefit stated in your listing, and you will not use the schedule, our email programs, or our community to promote an event that is not genuinely open to the audience described in your listing.
• Any revenue-share, listing, discount, or free-admission arrangement for a paid event is governed by the separate written agreement described in Section 3.

We may ask hosts to confirm these responsibilities in writing as a condition of listing.

6. RSVPs, saved schedules, and accounts

RSVP ("Going"), event-saving, personal-schedule, and calendar (.ics) features are conveniences provided "as is." An RSVP or saved event is not a ticket and does not guarantee admission, a seat, or capacity, which are controlled by the host. We do not guarantee the accuracy, completeness, or availability of schedule information, which is subject to change by hosts and by us.

Where a host uses its own registration system, a Boston AI Week RSVP does not register you with the host; you must also register with the host, and the host's registration is what secures your place. We do not provide your RSVP or contact information to hosts. If a host adds its own registration page after you RSVP, we may email you and ask you to register with the host as well. Waitlists, capacity indicators, and attendance counts are informational and may change. RSVPs and admissions are personal to you and may not be sold, transferred, or exchanged for value without our permission. We may cancel RSVPs, remove saved events, or limit features to prevent abuse, hoarding, or automated activity.

7. Official Events produced by Boston AI Week

Boston AI Week produces certain events itself, alone or with co-producers, venues, and vendors ("Official Events"). Official Events may include, for example, the Boston AI Summit, the Core Week Opening and Closing Parties, the AI in Massachusetts Workforce Development and Career Fair, festival headquarters and information activations, harbor boat rides, and Boston AI Week meetup sessions. Sections 4 and 5 describe hosted events; this Section applies to Official Events.

• Admission. Admission to an Official Event is subject to capacity, age and identification requirements, venue rules, security screening, and our discretion. Some Official Events are application-based or invitation-only (for example, the Boston AI Summit); applying does not guarantee admission, and we may decline any application without giving reasons. Admission may be limited to registered guests on a list provided to venue security.
• Right to refuse or remove. We, our co-producers, and venue staff may refuse entry to, or remove, any person who violates these Terms, the Code of Conduct, venue rules, or the law; who appears intoxicated or impaired; who poses a risk to themselves or others; or who is not on the guest list, in each case without refund or liability.
• Fees, refunds, and cancellations. Most Official Events are free. Where we charge a fee, the price, refund, and cancellation terms shown at the time of purchase apply. We may cancel, postpone, relocate, shorten, or modify any Official Event, including its speakers, program, venue, and format, for any reason, including weather, safety, venue availability, low registration, or events beyond our reasonable control. If we cancel a paid Official Event and do not reschedule it, our sole liability is a refund of the fee you paid to us for that event; we are not responsible for travel, lodging, or other costs.
• Alcohol. Boston AI Week does not sell, serve, or furnish alcohol at any event, including Official Events. Where alcohol is available at an Official Event, it is sold and served by the venue or a licensed vendor under its own license, staff, and responsibility, to guests who are at least 21 years old with valid identification, and Boston AI Week does not control or supervise that service. You are responsible for your own consumption and for arranging safe transportation. Service may be stopped to any guest at any time.
• Venues, vendors, and watercraft. Official Events take place at venues, and use vendors, that we do not own or control, including restaurants, office buildings, university facilities, and vessel operators. You agree to follow venue and vendor rules and instructions, including safety briefings. Harbor boat rides are operated by an independent licensed vessel operator, who is responsible for the vessel, crew, and passenger safety; boarding is at the captain's discretion and rides may be cancelled for weather or sea conditions.
• Your responsibilities. You are responsible for your own health, safety, belongings, and conduct; for telling us in advance about any accessibility or dietary need; and for the conduct of any guest you bring.
• Recording and media. Official Events are photographed and may be recorded; see Section 8.
• Assumption of risk and release. Your attendance at Official Events is voluntary and at your own risk, and the assumption of risk and release in Sections 18 and 19 apply.

8. Photography, recording, and media release

Boston AI Week events, including Official Events and hosted events, are photographed, filmed, recorded, live-streamed, and transcribed by us, our photographers and videographers, hosts, sponsors, media partners, and press. By attending, speaking at, exhibiting at, or otherwise participating in any Boston AI Week event, in person or online, you:

• acknowledge that your name, image, likeness, voice, statements, and any content you present may be captured;
• grant SmartCurrent Inc. and its licensees an irrevocable, perpetual, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, edit, adapt, publish, distribute, and display those images and recordings, in any media now known or later developed, for documenting, promoting, and archiving Boston AI Week and related programs, including on our website, in our email programs, on social media, in press materials, and in sponsor and partner communications, without compensation, notice, or further approval;
• waive any right to inspect or approve the finished materials and, to the extent permitted by law, any claim relating to their use, including claims of defamation, invasion of privacy, or violation of publicity rights; and
• agree that we own the photographs and recordings we create, and that hosts, sponsors, media partners, and press own the materials they create under their own practices.

If you prefer not to be photographed or filmed close-up, tell the photographer, an organizer, or the host at the event, and we will make reasonable efforts to honor your request; we cannot guarantee that you will not appear in crowd, stage, or wide shots. If you appear in an image published on our own channels and would like it removed, email info@aiweek.boston and we will consider your request in good faith. Recording by attendees is governed by the Code of Conduct: do not record individuals without their consent.

9. Shop and merchandise purchases

Merchandise sold through the Site's Shop (such as the Festival Tee) is sold by SmartCurrent Inc. The following terms apply to Shop purchases:

• Orders. Your order is an offer to buy. We accept it when we send an order confirmation. We may cancel or refuse an order at any time before shipment or pickup, including for pricing or description errors, suspected fraud, unavailability, or quantity limits, in which case we will refund any amount charged.
• Prices and payment. Prices are in U.S. dollars and may change without notice, but the price shown at checkout is the price you pay. Promotional pricing applies only during the stated promotion period. Any applicable taxes and shipping charges are shown before you confirm payment. Payments are processed by Stripe through our checkout; your card details are entered on Stripe's secure payment step and are not stored by us. Stripe's terms and privacy policy apply to payment processing.
• Production and delivery timing. Merchandise may be printed to order after a stated date, and delivery times vary with demand and location. Timing estimates are estimates only and are not guaranteed.
• Pickup. If you choose free pickup, we will email the pickup location and hours before the festival; bring your order confirmation. If you do not collect your order during the stated pickup window, contact info@aiweek.boston within 30 days after the festival ends and we will arrange shipping at the applicable shipping rate or another reasonable remedy. Orders not collected or arranged within that period may be treated as forfeited.
• Shipping. Shipping is available to U.S. addresses only, at the flat rates shown at checkout. You are responsible for entering a correct address; orders returned as undeliverable may be re-shipped at your cost. Title and risk of loss pass to you when we deliver the order to the carrier, or when you collect it at pickup. We will reasonably assist with carrier claims for lost or damaged shipments.
• Returns and refunds. Because merchandise is produced to order, all sales are final and we do not accept returns or exchanges for change of mind, sizing, or color choice. If an item arrives defective, damaged, or different from what you ordered, email info@aiweek.boston within 14 days of delivery or pickup with your order number and a photo, and we will replace or refund it at our option. Nothing in this Section limits the implied warranty of merchantability or any other right that cannot be limited under Massachusetts or other applicable law.
• Bulk orders. Bulk and team orders are arranged by email (orders@aiweek.boston) and may be subject to different pricing, timing, and shipping terms.
• Chargebacks. Please contact us before disputing a charge with your card issuer so we can resolve the issue; we may contest chargebacks that are inconsistent with these terms.
• Proceeds. Shop proceeds support Boston AI Week programming. Purchases are not donations and are not tax-deductible.

10. Summit applications, speakers, volunteers, and survey responses

• Summit and other applications. Applications to attend the Boston AI Summit or other application-based programs are reviewed by Boston AI Week's organizers and programming committee, who treat application information confidentially. Applying does not guarantee admission; we may decline any application at our discretion. Admission is personal and non-transferable and may be revoked for violations of these Terms or the Code of Conduct.
• Speakers. If you apply to speak and are accepted, you agree that: (a) you will present at the time and place scheduled, and we may reschedule, reformat, shorten, or cancel your session; (b) your session may be photographed, recorded, streamed, transcribed, and published under Section 8, and you grant SmartCurrent Inc. a non-exclusive, worldwide, royalty-free, perpetual license to record, reproduce, and distribute your presentation, slides, and materials for festival, promotional, and educational purposes; (c) you own or have the rights to everything you present and will not present confidential, infringing, defamatory, or unlawful content; (d) sessions should be educational rather than sales presentations, and you will disclose any commercial affiliation relevant to your talk; (e) you receive no compensation, travel, or expenses unless agreed in a separate written agreement; and (f) you are responsible for your own conduct and statements, and your views are your own and not those of Boston AI Week, SmartCurrent Inc., or any sponsor.
• Volunteers. Volunteering is voluntary and unpaid. Volunteers are not employees, contractors, agents, or partners of SmartCurrent Inc. or of any host or venue, and are not entitled to wages, benefits, workers' compensation, or reimbursement unless agreed in writing. Volunteers agree to follow organizer, host, and venue instructions and the Code of Conduct, to keep non-public information confidential, and to sign a separate volunteer agreement and release if asked. You must be at least 18 to volunteer.
• Survey responses. If you respond to the State of AI in Massachusetts survey or any other survey we run, you grant SmartCurrent Inc. a worldwide, perpetual, royalty-free license to use, analyze, aggregate, and publish your responses in research reports and related materials. Individual responses are reported in aggregate; we will not publish your name or identifiable responses, and will not share your contact information with research partners or sponsors, unless you explicitly opt in to be quoted or contacted. Free-text responses may be quoted anonymously. You represent that your responses are your own and do not disclose confidential information you are not authorized to share. Participation is voluntary.

11. User content and license

You may submit content to the Site, including event listings, host names, logos, images, descriptions, and profile information ("User Content"). You retain ownership of your User Content. You grant Boston AI Week a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt for formatting, and distribute your User Content on the Site and in related promotion of the festival. This license includes use in festival recaps, annual reports, press materials, sponsor and partner communications, and the schedule archive, and you waive any right to inspect or approve uses permitted by this license. You represent and warrant that you own or have the rights to your User Content and that it does not infringe any third party's rights or violate any law. We may remove or refuse any User Content at our discretion. Profile information you choose to make public may be shown to other users where the Site offers that feature. If you send us ideas, suggestions, or feedback about Boston AI Week or the Site, we may use them without restriction or compensation.

12. Acceptable use

When using the Site or attending listed events, you agree not to:

• Violate any law or regulation, or the rights of others.
• Harass, threaten, intimidate, or discriminate against any person; engage in hate speech; or otherwise violate our Code of Conduct.
• Submit false, misleading, spammy, or promotional content disguised as a community event.
• Impersonate any person or organization or misrepresent your affiliation.
• Upload or transmit viruses, malware, or other harmful code.
• Attempt to disrupt, overload, reverse engineer, scrape at scale, data-mine, or gain unauthorized access to the Site, its accounts, or its data.
• Use the Site or any data obtained from it to send unsolicited commercial communications or to train machine-learning systems without our permission. This includes automated crawling, text and data mining, and use of our content, listings, and schedule data as training data for AI or machine-learning models; we expressly reserve our rights against such uses.
• Harvest, collect, or export names, email addresses, or other contact or profile information of hosts, attendees, speakers, sponsors, or other users from the Site for solicitation or any other purpose.
• Circumvent or attempt to circumvent registration gates, access controls, rate limits, capacity limits, or application processes, or use bots, scripts, or multiple accounts to RSVP, apply, or purchase.
• Sell, resell, transfer, or exchange for value any RSVP, admission, Summit acceptance, or ticket, or use any of them for unauthorized commercial promotion.
• Use the Boston AI Week name, logo, or marks, or the schedule data, to advertise, promote, or imply affiliation with an event, product, or service without our written permission.
• Post or transmit content that is unlawful, defamatory, obscene, or infringing, or that violates anyone's privacy or publicity rights.
• Interfere with any other person's use or enjoyment of the Site or any event.

13. Code of Conduct

All use of the Site and participation in Boston AI Week is subject to our Code of Conduct, which is incorporated into these Terms. The Code of Conduct also serves as our anti-harassment policy. It applies in all Boston AI Week spaces, including our official channels on third-party platforms.

14. Intellectual property

The Boston AI Week name, logo, and the Site's original design, copy, photography, and code are owned by SmartCurrent Inc. or its licensors and are protected by intellectual property laws. Except for personal, non-commercial use of public schedule information, you may not copy, modify, distribute, or create derivative works from them without our prior written permission. All other trademarks, logos, and content (including those of sponsors and hosts) are the property of their respective owners.

"Boston AI Week," "The Festival of AI," "Boston AI Summit," the Boston AI Week arch-and-skyline logo, and related names and designs are trademarks of SmartCurrent Inc., whether or not registered. You may refer to Boston AI Week factually (for example, to say that your event is listed on the Boston AI Week 2026 schedule), but without our written permission you may not use our marks in a way that implies endorsement, sponsorship, or production by Boston AI Week; register or use confusingly similar names, domains, social handles, or marks; or use our marks on merchandise. Hosts, sponsors, and partners may use our marks only as permitted by their separate written agreements and our brand guidance. The schedule and its data are a protected compilation. Our public API routes, calendar feeds, and structured data are provided for personal, non-commercial use and for search engines and calendar applications; any other use requires our permission.

15. Copyright and notice-and-takedown

We respect intellectual property rights. If you believe content on the Site infringes your copyright or other rights, email info@aiweek.boston with: (a) a description of the work or right; (b) the location (URL) of the content on the Site; (c) your contact information; (d) a statement that you have a good-faith belief the use is unauthorized; and (e) a statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorized to act on their behalf. We will review and remove infringing content where appropriate and may remove content of repeat infringers.

Notices may also be sent to our designated agent: SmartCurrent Inc., Attn: Copyright Agent, 1770 Massachusetts Ave, Suite 205, Cambridge, MA 02140, info@aiweek.boston. If we remove content you posted, we will notify you where practical, and you may send a counter-notice containing: (a) your name, address, telephone number, and email; (b) identification of the removed content and its former location; (c) a statement under penalty of perjury that you have a good-faith belief the content was removed by mistake or misidentification; and (d) your consent to the jurisdiction of the federal court for the District of Massachusetts (or, if you are outside the United States, any judicial district in which we may be found) and your agreement to accept service of process from the person who sent the original notice. Knowingly false notices or counter-notices may carry liability under law. We terminate the accounts of repeat infringers in appropriate circumstances.

16. Third-party services and links

The Site links to and embeds third-party content and services (including Meetup, Google Forms, host websites, ticketing pages, video, maps, and calendar tools). It also relies on third-party services such as Google Sign-In, Stripe for Shop payments, and third-party registration platforms used by hosts and co-producers (such as Luma or Eventbrite), and may embed video, social, and streaming services. We do not control these services and are not responsible for their content, availability, or practices. Your use of any third-party service is governed by that provider's own terms and privacy policy.

17. Disclaimers

The Site and all listings are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that listings are accurate, complete, or current. We make no representation or guarantee regarding (i) the number, identity, or quality of attendees, leads, or contacts; (ii) any business outcomes, sales, hires, partnerships, or return on investment from participation; (iii) the conduct or statements of attendees, hosts, speakers, sponsors, or other third parties; or (iv) the availability of any venue, vendor, or amenity, all of which are subject to change.

Content on the Site and at events, including talks, panels, demonstrations, AI outputs, survey findings, and sponsor or host materials, is provided for general information and educational purposes only. It is not legal, financial, investment, medical, employment, or other professional advice and does not constitute a recommendation or endorsement. Views expressed by speakers, hosts, sponsors, and attendees are their own. Demonstrations of AI systems, and any outputs they generate, are the responsibility of the person presenting them. The disclaimers in this Section do not limit the warranty and remedy terms for Shop merchandise in Section 9 or any implied warranty that cannot be disclaimed under applicable law.

18. Assumption of risk for in-person events

Attendance at any in-person event is voluntary and at your own risk. Boston AI Week does not run or supervise hosted events and is not responsible for conditions at any venue or for the acts or omissions of hosts, attendees, or third parties. To the maximum extent permitted by law, you assume all risks associated with attending in-person events.

This includes Official Events (Section 7) as well as hosted events, and includes risks such as personal injury, illness (including exposure to communicable disease), property loss or damage, travel, weather, crowds, alcohol served by venues, vendors, hosts, partners, or sponsors, watercraft, and the acts or omissions of hosts, venues, vendors, other attendees, and third parties. You are responsible for evaluating whether an event is appropriate for you and for your own health, travel, and property insurance. If you have a medical condition or accessibility need relevant to an event, tell the host (or, for Official Events, us) in advance.

19. Release

In these Terms, "Boston AI Week Parties" means SmartCurrent Inc. and its affiliates, and each of their respective directors and board members, officers, employees, organizers, volunteers, contractors, agents, licensors, co-producers, sponsors, partners, successors, and assigns.

To the fullest extent permitted by law, you release, waive, and discharge the Boston AI Week Parties and, for Official Events, the venues, co-producers, and vendors of those events, from any and all claims, demands, damages, losses, and liabilities of every kind, known or unknown, arising out of or relating to: (a) your attendance at or participation in any Boston AI Week event, including claims for personal injury, illness, death, or property damage, and including claims based on ordinary negligence; (b) any dispute between you and a host, attendee, speaker, sponsor, exhibitor, recruiter, venue, vendor, or other third party; and (c) the acts or omissions of any host or third party. This release does not apply to liability for gross negligence, willful misconduct, or fraud, or to any liability that cannot be released under applicable law.

If you are a California resident, you waive California Civil Code Section 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." If you are a resident of another jurisdiction with a similar law, you waive that law to the same extent.

20. Limitation of liability

To the maximum extent permitted by law, Boston AI Week and its organizers, officers, volunteers, contractors, sponsors, and partners, and all other Boston AI Week Parties, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site or attendance at any listed event, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to the Site, these Terms, or any event will not exceed the greater of (a) one hundred U.S. dollars (USD $100) or (b) the total amount you paid to SmartCurrent Inc. for Shop merchandise or paid Official Event admission in the twelve (12) months before the event giving rise to the claim. These exclusions and limits apply regardless of the theory of liability (contract, tort, negligence, strict liability, statute, or otherwise) and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limits, in which case our liability is limited to the fullest extent permitted. Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.

21. Indemnification

You agree to indemnify, defend, and hold harmless Boston AI Week and its organizers, officers, volunteers, contractors, sponsors, and partners, and all other Boston AI Week Parties, from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of or related to your use of the Site, your User Content, your violation of these Terms or the Code of Conduct, your violation of any law or third-party right, or your hosting or attendance of any event. This includes claims arising from any event you host, any content you present, any alcohol served at your event, any injury or damage at your event, and any violation of a third party's intellectual property, privacy, or publicity rights. We may assume the exclusive defense and control of any matter subject to indemnification, at your expense, and you agree to cooperate with our defense and not to settle any such matter without our written consent.

22. Governing law and venue

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. Subject to Section 23, any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts, and you consent to personal jurisdiction there. The Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement in Section 23.

23. Dispute resolution: informal resolution, binding arbitration, and class action waiver

(a) Informal resolution first. Before filing any claim, you agree to first contact us at info@aiweek.boston and attempt in good faith to resolve the dispute informally for at least thirty (30) days. Your notice must include your name, contact information, a description of the dispute, and the relief you seek. We will do the same before bringing a claim against you.

(b) Binding arbitration. If a dispute is not resolved informally, you and SmartCurrent Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Shop, any Boston AI Week event, or your relationship with us (a "Dispute"), including the scope or enforceability of this arbitration agreement, will be resolved by binding individual arbitration rather than in court, except as provided in paragraphs (d) and (e). The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, for business or organizational claimants, its Commercial Arbitration Rules) then in effect, as modified by these Terms. The AAA rules and fee schedules are available at www.adr.org, and arbitration fees are allocated under those rules. Any in-person hearing will take place in Suffolk County, Massachusetts, unless you and we agree otherwise; you may elect to participate by video or telephone, and claims under $25,000 may be resolved on written submissions. The arbitrator may award the same individual relief a court could award and must follow these Terms; the arbitrator's award is final and may be entered in any court of competent jurisdiction.

(c) Class action and jury waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding. If a court or arbitrator determines that this class action waiver is unenforceable as to a particular claim or request for relief, that claim or request (and only that one) will be severed and brought in court under Section 22, and all remaining Disputes will proceed in arbitration. TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT, YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL.

(d) Exceptions. Either party may (i) bring an individual claim in small claims court if it qualifies, and (ii) seek injunctive or other equitable relief in court to protect intellectual property rights or to stop unauthorized use, scraping, or misuse of the Site or its data.

(e) Opt-out. You may opt out of this arbitration agreement by emailing info@aiweek.boston with the subject "Arbitration Opt-Out," your name, and the email address on your account, within thirty (30) days after you first accept these Terms (or, for accounts created before this version took effect, within thirty (30) days after this version's effective date). Opting out does not affect any other provision of these Terms.

(f) Coordinated filings. If twenty-five (25) or more similar Disputes are asserted against us by the same or coordinated counsel, the parties agree that the arbitrations will be batched and administered in groups of up to twenty-five (25), with a single arbitrator per batch, and that AAA filing and administrative fees will be assessed per batch, so that Disputes are resolved efficiently. Any statute of limitations is tolled while batches are pending.

(g) Time limit for claims. To the extent permitted by law, any claim arising out of or relating to these Terms, the Site, or any event must be brought within one (1) year after the claim accrues; otherwise it is permanently barred.

(h) Survival and changes. This Section survives the closing of your account and the termination of these Terms. If we change this Section after you accept it, the changes will not apply to any Dispute of which you notified us before the change, and you may reject the change by opting out within thirty (30) days under paragraph (e).

24. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date above, and where appropriate we will provide additional notice. Your continued use of the Site after a change means you accept the updated Terms.

Each version of these Terms has a version number and effective date shown at the top of this page, and prior versions are available at aiweek.boston/terms/versions or on request. When we make material changes, we will notify registered account holders by email or by a prominent notice on the Site or at sign-in, at least seven (7) days before the changes take effect where practicable, and we may require you to accept the updated Terms to continue using account features, the Shop, or event registration. Changes are prospective: a Dispute arising before a change takes effect is governed by the version of these Terms in effect at that time. If you do not agree to updated Terms, stop using the Site and close your account.

25. General

Severability: if any provision of these Terms is held unenforceable, the remaining provisions stay in full effect. Entire agreement: these Terms, together with the Privacy Policy, the Code of Conduct, and any separate written agreement, are the entire agreement between you and us regarding the Site and supersede prior understandings. Assignment: you may not assign these Terms; we may assign them to a successor or affiliate. Waiver: our failure to enforce any provision is not a waiver of it. Force majeure: we are not liable for any delay or failure caused by events beyond our reasonable control, including acts of God, war, terrorism, epidemics or pandemics, public health emergencies, outages, strikes, or government orders. Survival: provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) survive termination. Electronic communications: you consent to receive communications from us electronically. Headings are for convenience only.

Modification of the Site: we may modify, suspend, or discontinue the Site or any feature at any time without liability. Notices: we may give you notice by email to the address on your account, by posting on the Site, or by other reasonable means; notices to us must be sent to info@aiweek.boston or to our mailing address in Section 26. No third-party beneficiaries: except for the Boston AI Week Parties and the released parties in Section 19, who may enforce the provisions that protect them, these Terms create no third-party beneficiary rights. Interpretation: "including" means "including without limitation." Electronic signatures: your acceptance of these Terms by clicking, checking a box, signing in, purchasing, submitting a form, or continuing to use the Site is a valid electronic signature under the federal Electronic Signatures in Global and National Commerce Act and the Massachusetts Uniform Electronic Transactions Act. Language: these Terms are written in English; any translation is for convenience only and the English version controls.
